A problem can arise where standard forms are used. If business A offers goods to business B on a form containing its standard terms, and business B accepts on its standard terms, whose should apply? It is particularly difficult where negotiations are lengthy, referred to as the ‘battle of the forms’. The general rule is that each ‘form’ is a counter-offer, not an acceptance. Thus the last form would be an offer, accepted by, for example, delivery of goods. Food for thought The courts have not fully resolved the issue of the ‘battle of the forms’.
